These Terms of Service ("Terms") govern your access to and use of Aurability's cloud-based telehealth hearing assessment platform ("Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Aurability provides a cloud-based platform that enables healthcare professionals to conduct remote hearing assessments and manage patient hearing health data. The Service includes:

• Remote hearing assessment tools
• Patient management system
• Secure messaging and communication
• Test result analysis and reporting
• Integration capabilities with healthcare systems

4. User Eligibility

To use our Service, you must:

• Be a licensed healthcare professional or authorized personnel
• Be at least 18 years of age
• Have the legal authority to enter into these Terms
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials

5. User Responsibilities

As a user of our Service, you agree to:

• Use the Service in compliance with all applicable laws and regulations
• Obtain appropriate patient consent before conducting assessments
• Maintain patient confidentiality and privacy
• Ensure the accuracy of all information entered into the system
• Report any security breaches or unauthorized access immediately
• Not attempt to reverse engineer or hack the Service

6. HIPAA Compliance

We will enter into a Business Associate Agreement (BAA) with covered entities as required by HIPAA. Both parties agree to comply with all applicable HIPAA requirements regarding the protection of Protected Health Information (PHI).

7. Intellectual Property

All content, features, and functionality of the Service, including software, text, images, and logos, are owned by Aurability and protected by intellectual property laws. You may not copy, modify, or distribute any part of our Service without written permission.

8. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURABILITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify and hold harmless Aurability from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any rights of another party.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will be immediately revoked. Provisions that by their nature should survive termination shall remain in effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Minnesota.
